Consumer Terms & Conditions
These Terms & Conditions (“Terms”) apply to all sales of Goods by Tinsmiths of Ledbury Ltd (“we”, “us”, “our”) to consumers (“you”, “your”). By placing an order, you agree to these Terms.
1. Definitions
1.1 “Goods” means furnishing fabrics, domestic lighting, and any other products supplied by us.
1.2 “Contract” means the agreement between you and us for the sale and purchase of Goods, governed by these Terms.
2. Orders
2.1 Orders may be placed via our website or by telephone.
2.2 All orders are subject to acceptance by us.
3. Pricing & Payment
3.1 Prices are as shown on our website and include VAT unless otherwise stated.
3.2 Payment must be made in full at the time of order.
3.3 We reserve the right to correct pricing errors before dispatch.
4. Delivery
4.1 Delivery times are estimates and not guaranteed.
4.2 Risk in the Goods passes to you upon delivery. Title passes only once payment has been received in full.
5. Fabric & Material Particularities
5.1 Fabrics can appear differently depending on screen settings and lighting conditions. We strongly recommend that you request a sample before ordering.
5.2 Fabric is cut to your measurements and is therefore considered a bespoke product. Such fabric cannot be returned unless faulty.
5.3 Variations may occur between production batches. We cannot guarantee exact matches with previous orders or samples. Where a precise match is required, please request a stock cutting or sample for approval before ordering.
5.4 Orders placed without receipt of a sample, or batch cutting where colour or pattern match is critical, are at your risk.
5.5 Pattern repeat and fabric width may vary by up to ±2cm. Where critical, please confirm exact measurements before ordering.
5.6 Fabric must be inspected before cutting. Faulty cloth cannot be returned once cut.
5.7 You should check all items immediately on delivery and notify us within three (3) working days of any incorrect items, breakages, or damage.
5.8 All obvious faults or defects in the fabric must be reported to us within one (1) week of delivery.
5.9 It is your responsibility to ensure that your curtain maker, upholsterer, or other contractor has the correct fabric details and, where applicable, a batch cutting.
6. Cancellation Rights (Consumer Contracts Regulations 2013)
6.1 You have the right to cancel your order within fourteen (14) days of receiving the Goods, without giving a reason.
6.2 To exercise this right, you must notify us in writing (email or post).
6.3 Goods must be returned to us within fourteen (14) days of cancellation, at your expense, unless faulty.
6.4 Refunds will be processed within fourteen (14) days of receipt of the returned Goods.
6.5 Exclusions: Fabric cut to order, customised items, and specially treated products (including FR-treated fabric) cannot be cancelled or returned unless faulty.
7. Returns & Faulty Goods
7.1 In addition to your cancellation rights (see Clause 6), you are entitled to a repair, replacement, or refund if Goods are faulty, damaged, or not as described, in line with the Consumer Rights Act 2015.
7.2 Please check your Goods promptly on delivery and notify us within three (3) working days of any incorrect items, breakages, or damage, providing photographs where possible, so we can resolve matters quickly.
7.3 Obvious faults in fabric must be reported within one (1) week of delivery.
7.4 This clause does not affect your statutory rights.
8. Fire Retardancy (FR) Treatment
8.1 Unless expressly stated otherwise, our fabrics are not supplied with fire retardant (“FR”) treatment.
8.2 For certain applications, including upholstery or commercial/public use, additional FR treatment may be legally required. It is your responsibility to check the requirements for your intended use.
8.3 On request, we can arrange FR treatment before delivery. An additional charge will apply, and a certificate of treatment will be provided.
8.4 Once treated, fabric cannot be returned or cancelled unless faulty.
9. Product Suitability
9.1 All furnishing fabrics supplied are intended for domestic use unless otherwise specified.
9.2 Lighting products are supplied for domestic interior use unless otherwise stated.
10. Intellectual Property
10.1 All images, designs, product descriptions, and website content remain our intellectual property and may not be reproduced without our written permission.
11. Limitation of Liability
11.1 Our liability shall not exceed the purchase price of the Goods.
11.2 We shall not be liable for any indirect, consequential, or economic losses.
12. Governing Law
12.1 These Terms are governed by the laws of England and Wales.
12.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
For Trade Customers
Trade Terms & Conditions
These Terms and Conditions (“Terms”) govern the sale of Goods by Tinsmiths of Ledbury Ltd. to business customers holding a trade account. By placing an order, you agree to be bound by these Terms.
1. Definitions
1.1 “We”, “Us”, “Our” means Tinsmiths of Ledbury Ltd.
1.2 “You”, “Your” means the business customer applying for or holding a trade account.
1.3 “Goods” means furnishing fabrics, domestic lighting, and any other products supplied by us.
1.4 “Contract” means the agreement for the sale and purchase of Goods between you and us, governed by these Terms.
2. Eligibility & Trade Accounts
2.1 Trade accounts are available only to bona fide businesses such as interior designers, architects, contractors, retailers, and other trade professionals.
2.2 We reserve the right to refuse, suspend, or withdraw a trade account at our sole discretion and without notice.
3. Orders
3.1 Orders may be placed via our website using your trade login, or by submitting a purchase order by email to our trade team.
3.2 All orders are subject to acceptance by us.
3.3 Minimum order quantities may apply and will be advised at the point of order.
4. Pricing & Payment
4.1 Trade discounts apply only to eligible product categories, as stated on our website or in communications to you.
4.2 Discounts do not apply to sale items unless expressly stated.
4.3 All prices are exclusive of VAT, which will be added at the applicable rate.
4.4 Payment terms will be confirmed at the point of account approval. Unless otherwise agreed, payment is required in full prior to dispatch.
5. Delivery
5.1 Delivery times are estimates only. We shall not be liable for any delay, whether caused by carriers, suppliers, or other circumstances beyond our control.
5.2 Risk in the Goods passes to you upon delivery. Title shall not pass until payment has been received in full.
6. Inspection & Acceptance
6.1 You must inspect all Goods immediately upon delivery and, in any event, within three (3) working days of receipt.
6.2 Any defects, damage, or non-conformity must be notified to us in writing within this period, accompanied by appropriate photographic evidence.
6.3 If no such notice is received, the Goods shall be conclusively deemed to conform in all respects to the Contract and to be free from defects apparent on reasonable inspection.
6.4 Fabric must always be checked prior to cutting, processing, or use. Once fabric or other Goods have been cut, treated, processed, installed, or otherwise altered, such actions constitute irrevocable acceptance, and no claims or returns will be accepted, save only for latent manufacturing defects not reasonably detectable upon inspection.
6.5 Where notice is given under clause 6.2, we must be given a reasonable opportunity to examine the Goods. If requested, you must return the Goods at your expense for inspection.
6.6 Please note: there is no statutory right of cancellation (“cooling off period”) for business customers.
7. Returns
7.1 Trade orders are supplied on a firm sale basis. No returns will be accepted except in the case of Returnable Samples as set out in clause 7.3.
7.2 It is your responsibility to inspect Goods in accordance with clause 6. No returns will be accepted once Goods have been cut, treated, processed, or otherwise worked on, except where a latent manufacturing fault is subsequently identified.
7.3 Returnable Samples (approximately 50cm x 50cm) may be returned within twenty-eight (28) days of delivery for a refund, provided they are in original condition.
7.4 No other returns will be accepted under any circumstances.
8. Fabric & Material Particularities
8.1 Variations may occur between production batches. We cannot guarantee that current stock will exactly match previous orders, samples, or display items. Where an exact colour or finish match is required, you must request a stock cutting for approval prior to ordering.
8.2 Orders placed without receipt of a cutting, or without a stock cutting where colour consistency is critical, are placed at your sole risk.
8.3 Pattern repeat and fabric width may vary by up to ±2cm. Where precise measurements are critical, you must request the exact measurement of current stock before ordering.
8.4 It is your responsibility to ensure that any curtain maker, upholsterer, or other contractor engaged to work with the fabric has received full and accurate details of the fabric, colourway, and (where requested) a batch cutting. We accept no liability for errors arising from failure to communicate such details.
9. Product Suitability
9.1 All furnishing fabrics supplied are intended for domestic use unless otherwise specified.
9.2 Unless expressly stated otherwise, our lighting products are designed for domestic interior use only and are not certified for exterior, bathroom, or commercial installation. It is your responsibility to ensure suitability for the intended environment.
10. Fire Retardancy (FR) Treatment
10.1 Unless expressly stated otherwise, none of our fabrics are supplied with fire retardant (“FR”) treatment.
10.2 It is your responsibility to ensure that the fabric specified is suitable and compliant for its intended end use, including compliance with any applicable fire safety regulations.
10.3 On request, we can arrange for FR treatment of fabric prior to supply. An additional charge will apply for this service, and a certificate of treatment will be supplied by the treating company.
10.4 Once treated, fabric cannot be returned. We accept no liability for delays, costs, losses, or damages arising from your failure to specify or request appropriate FR treatment.
11. Trade Account Security
11.1 Your trade login is issued solely for your business use and must not be shared with any third party, including employees not authorised to place orders on your behalf.
11.2 You are responsible for maintaining the confidentiality of your username, password, and any other security credentials, and for all activity conducted under your account.
11.3 You must take all reasonable steps to prevent unauthorised access or misuse of your account.
11.4 If you suspect your account details have been compromised, you must notify us immediately.
11.5 We reserve the right to suspend or terminate any trade account where we reasonably believe it is being misused, accessed without authorisation, or shared outside your business.
12. Intellectual Property
12.1 All images, designs, product descriptions, and website content remain our intellectual property and may not be copied, reproduced, or used without our prior written permission.
13. Limitation of Liability
13.1 Our liability shall not exceed the purchase price of the Goods supplied.
13.2 We shall not be liable for any indirect, consequential, or economic loss, or for any loss of profit, business, contracts, or goodwill.
14. Indemnity
14.1 You agree to indemnify and hold us harmless against all direct claims, losses, costs, damages, and expenses (including reasonable legal fees) arising directly from:
(a) your breach of these Terms;
(b) misuse of your trade account; or
(c) unauthorised access to our website using your login credentials.
15. Governing Law
15.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
15.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
